(hereinafter TESTA) with tax identification number A-82865890 and registered address at C/Santiago de Compostela 94, planta 3º, 28035 Madrid and registered in the Companies Register of Madrid in Volume 16.114, Folio 1, and on Sheet M-272. 946, as owner of the website www.testa-socimi.com (hereinafter the Website), informs you below of the Terms of Use of the Website.

 

Terms of use.

Accessing or use of the Website implies the USER’s acceptance of these Terms of Use.

 

Non permitted uses

As a USER of the Website, we inform you that it is PROHIBITED and, therefore, any consequences will be your sole responsibility, to access or use the website for illegal or unauthorized purposes, with or without purposes of financial gain, and, specifically, and without the following list being definitive, it is prohibited to:

Make use of the Website illegally, or in any other way that may damage, overload or harm it.

Introduce computer viruses, defective files, or host, store, distribute or share any other material or computer program that may cause damage or alterations to the content, programs or systems of the Website.

Use or resell for unauthorized commercial purposes the content included in the Website, without the prior authorization of TESTA.

TESTA shall be entitled to adopt, at its sole discretion, at the request of the affected third party or competent authority, the necessary measures in the event of non-compliance with the provisions of this clause. The adoption of said measures does not give the right to any compensation.

 

Use of the Website: responsibilities

The USER is entirely responsible for the access and correct use of the Website, subject to prevailing Spanish legislation, as well as the principles of good faith,  morality and public order, and with the commitment to diligently observe any instructions that, in relation to such use and access, may be given by TESTA, in accordance with the provisions of these Terms of Use.

The USER is obliged to make reasonable use of the Website and its contents, according to the possibilities and purposes for which it is conceived.

The USER is solely responsible for information or content of any kind that may be disclosed through the Website.

 

Personal data protection

The collection and processing of personal data supplied by the USER as well as the exercise of the USER’s rights over said data will be governed by the Privacy Policy of the Website.

 

Exemption from responsibility.

For the content provided by Users

If any of the contents, files, information, publicity, opinions, concepts and images housed on the Website were to go against the law, morality, good faith and public order or were to contain any type of computer virus or similar software routine they will be taken down.

TESTA shall not assume responsibility for the contents, files, information, publicity, opinions, concepts and images that do not depend on the Website, or are not managed by TESTA.

TESTA will not assume any responsibility, either direct or indirect, derived from the misuse of the Website or its contents by the USER, the latter assuming, in all cases, and under their sole responsibility, the consequences, damages or actions that may derive from their access or use of the Website or the hosted content, as well as its reproduction or disclosure.

 

For content hosted on websites accessible from the Website

TESTA is not responsible for any of the contents, files, information, advertising, opinions, concepts and images that are issued, published or distributed directly and indirectly through any interconnected website accessed through the Website by means of links, or any of the services linked or related to this interconnected website.

 

For the operating of the Website

TESTA provides its services and content continuously using all the technical resources at hand to do so satisfactorily.

TESTA may, when it deems it appropriate, make corrections, improvements or modifications to the information contained in the Website, in the services, or in the contents thereof, without this giving rise to or generating the right to any claim or compensation, or implying acknowledgement of any responsibility.

TESTA is not liable for damages of any kind that may arise from the availability and technical continuity of the operation of the Website. However, TESTA will carry out all the necessary actions to re-establish its services in the event of technical failure.

 

Intellectual and industrial property

TESTA, as the owner of the collective work which is the Website, is the owner of all the rights of industrial and intellectual property over this.

Any form of reproduction, distribution, public disclosure, transformation and, in general, any act of exploitation of all or part of the content (images, texts, designs, indexes, forms, etc.) that make up the Website, the databases (sui generis right) and the software necessary for the visualization or operation thereof (including source codes), is prohibited without the express and prior written authorization of TESTA.

The USER may not, under any circumstances, exploit or commercially benefit from, directly or indirectly, in whole or in part, any of the contents (images, texts, designs, indexes, forms, etc.) that make up the Website without the prior written authorization of TESTA

All content, without exception and in a non-limiting manner, that are part of the Website, that is, information, articles, data, texts, logos, icons, images, the design and image of the Website (external appearance or “look and feel”), video files, audio files, databases, and computer applications, are owned by TESTA, or are operated under license from third parties holders of the intellectual and/or industrial property rights of the aforementioned content. These are protected by prevailing intellectual and industrial property laws.

All TESTA brands and logos referred to on the Website are trademarks or registered trademarks of TESTA.

 

Changes to the terms

TESTA may, at any time, modify these conditions or introduce new conditions of use, it being sufficient to announce this through the Website.

In the event of a regulatory action, legal or regulatory measure that, in the reasonable judgement of TESTA, prohibits, substantially restricts or renders commercially unfeasible the provision of the service, TESTA will be authorized to: (i) modify the service or the terms and clauses of this Contract in order to adapt to the new situation, (ii) terminate the Contract.

TESTA shall be exempt from any liability arising from the actions described in this clause by publishing the modifications on the Website.

 

Applicable law and jurisdiction

Prevailing regulations will determine the laws that shall govern and the jurisdiction that must be aware of the relations between TESTA and the USER and the Website. However, in those cases in which such prevailing legislation provides for the possibility of the parties submitting to a specific jurisdiction, TESTA and the USER, expressly waiving any other jurisdiction that may correspond to them, submit themselves to the Courts and Tribunals of the city of Madrid.
